Customer Master Agreement

1. Parties and Scope

This Customer Master Agreement (“Agreement”, “MSA”) is between Fair E Web Host (“we”, “us”, “our”) and the customer (“you”, “Customer”) and governs all services purchased at https://fairewebhost.ca, including hosting, domain, DNS, email, SSL, and add-ons. Product-specific agreements (Addenda) supplement this MSA.

2. Account and Authorization

• You must be of legal age and authorized to bind your organization.
• Keep credentials confidential; you are responsible for activities under your account.
• Provide accurate information and keep it current.

3. Orders, Term, Auto-Renewal

• Orders are effective upon our acceptance and payment authorization.
• Services renew automatically unless cancelled before the renewal date.
• Term choices may include Monthly, Quarterly, Annual, or multi-year; some benefits (e.g., free domain) apply only to Annual.

4. Fees, Taxes, Payments

• Fees are due in advance unless stated otherwise and are non-refundable once provisioned, except where required by law or our posted refund policy.
• Payments are processed by SmartersWeb via PayPal on our behalf. You agree to applicable PayPal terms.
• Prices may change; we publish current rates at checkout. Taxes (GST/HST/PST), ICANN fees (where applicable), and registry surcharges may apply.
• Chargebacks/disputes may result in suspension and restoration fees.

5. Acceptable Use

You must comply with our Acceptable Use Policy (AUP), anti‑abuse practices, and applicable laws. Prohibited uses include malware, phishing, spam, IP infringement, DDoS, illegal content, and network attacks.

6. Service Levels and Support

• We aim for high availability with redundant infrastructure. Planned maintenance will be communicated when feasible.
• Support channels: 24/7 chat/tickets; priority channels per plan. Response and resolution times are targets, not guarantees, unless a separate SLA is provided.

7. Data, Backups, and Security

• You are responsible for your content and compliance with laws and third‑party rights.
• We provide backups per plan; you should maintain your own offsite backups.
• We implement security controls; you must keep software updated and use strong credentials/2FA.

8. Privacy and Data Processing

We process personal data per our Privacy Policy. Domain registration requires sharing data with registries/ICANN. You authorize us to process and transfer data as needed to deliver services.

9. Intellectual Property

• You retain rights to your content. You grant us a limited license to host and transmit it to provide services.
• Our IP, branding, software, and documentation remain ours or our licensors’.

10. Warranties and Disclaimers

Services are provided “as is” and “as available”. We disclaim all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness, and non‑infringement.

11. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability for all claims in a 12‑month period is limited to the fees you paid for the affected service in that period. We are not liable for lost profits, revenues, data, or indirect/special/consequential damages.

12. Indemnification

You will defend, indemnify, and hold harmless us, our affiliates, and personnel from claims arising out of your content, use of services, or breach of this Agreement or law.

13. Suspension and Termination

• We may suspend or terminate for non‑payment, abuse, or material breach.
• Upon termination, we may delete data after a reasonable period per our policies and law.

14. Governing Law and Disputes

Governing law: Province of Ontario and applicable Canadian federal laws. Venue: Ontario courts, unless otherwise required by registry or ICANN policies.

15. Changes

We may update this Agreement. Material changes will be posted with an updated date. Continued use constitutes acceptance.
